Terms and Conditions
Last updated: 18 October 2026
1. About these terms
These terms apply to the website callsayra.com and to the services provided by Sayra Limited ("Sayra", "we", "us"), a company registered in Saint Lucia with its registered address at 20 Micoud Street, Castries, Saint Lucia. "Client" or "you" means the business that uses our services, and anyone who uses our website.
Our services are for businesses only. If you sign up or use the services for a business, you confirm you are authorised to accept these terms for it. If you have a separate signed agreement with us, that agreement takes priority over these terms where they conflict.
2. The service
Sayra provides AI phone agents ("voice agents") that answer inbound calls and make outbound calls on behalf of client businesses, for example to take phone orders, confirm orders or follow up with customers. The service may also send SMS messages on your behalf, such as order confirmations, payment links and status updates, and includes access to a web portal at orders.callsayra.com where your staff can review calls, transcripts and orders.
Sayra does not take payments. Payment links direct your customers to your own payment provider, and you are responsible for your relationship with that provider.
3. Your responsibilities
- Lawful use. You must use the service in line with all laws that apply to your business, including data protection, consumer, telecommunications and marketing laws.
- Notices to callers. You must give callers any notices the law requires, including about call recording and the use of AI, and make sure your own privacy notice covers your use of Sayra. Our agents tell callers they are speaking with an AI assistant; you must not ask us to remove this disclosure.
- Accurate information. You are responsible for the accuracy of the menus, prices, opening hours, delivery areas and other information you give us, and for updating it promptly.
- Consent for outbound calls and SMS. You must have any consent or other lawful basis required to call or text the people we contact on your behalf, and must honour opt-out requests.
- No emergency use. The service is not an emergency service and must not be used to receive or route emergency calls.
- Account security. You must keep portal login details confidential, give access only to authorised staff, and tell us promptly of any unauthorised use.
4. AI limitations
AI voice agents can make mistakes. They may mishear or misunderstand callers, especially with poor phone lines, background noise or unusual names and addresses, and may record order details incorrectly. You should review orders before fulfilling them and have a process for handling errors and complaints. You remain responsible for the orders you accept and the goods or services you provide.
5. Acceptable use
You must not use the service to:
- make unsolicited, harassing, deceptive or fraudulent calls or messages;
- impersonate any person or business, or hide that callers are speaking with an AI;
- collect payment card details or passwords over the phone;
- process sensitive personal data unless agreed with us in writing;
- break any law or infringe anyone's rights;
- interfere with, overload, reverse engineer or attempt to gain unauthorised access to our systems.
6. Fees and payment
Fees are set out in your separate agreement, order form or quote. Unless agreed otherwise, we invoice monthly and invoices are payable by bank transfer within the period stated on the invoice. You are responsible for any applicable taxes and bank charges. We may suspend the service if invoices remain unpaid after we have given you notice.
7. Service availability
We work to keep the service available and reliable, but we do not guarantee that it will be uninterrupted or error-free. The service depends on telephone carriers, internet connectivity, cloud hosting and third-party AI providers that are outside our control. We may carry out maintenance and will try to give notice of planned downtime where practical. You should have a fallback for taking calls if the service is unavailable.
8. Intellectual property
Sayra owns the platform, software, voice agent configurations, website and all related intellectual property. We give you a non-exclusive, non-transferable right to use the service during your subscription for your own business purposes.
You own your data, including your menus, business information, call recordings, transcripts and order records ("Client Data"). You give us permission to use Client Data only as needed to provide, secure and support the service. If you give us feedback, we may use it freely to improve our services.
9. Confidentiality
Each party will keep the other's confidential information private and use it only for the purposes of our relationship. This does not apply to information that is public, already known to the receiving party, independently developed, or that must be disclosed by law (in which case the disclosing party will give notice where lawful).
10. Data protection
For personal data of your callers and customers, you are the controller and Sayra acts as your processor on your instructions. Our Privacy Policy explains how we handle personal data, and our data processing agreement sets out the terms on which we process personal data for you, including security, sub-processors, international transfers and breach notification. You must ensure you have a lawful basis for the processing you ask us to carry out.
11. Limitation of liability
- Neither party is liable to the other for any indirect or consequential loss, or for loss of profits, revenue, business or goodwill.
- Each party's total liability arising out of or in connection with the service in any 12-month period is limited to the fees paid or payable by you to Sayra in the 12 months before the event giving rise to the claim.
- These limits do not apply to your obligation to pay fees, to either party's indemnity obligations, to breach of confidentiality, or to liability that cannot be limited by law, such as for fraud or for death or personal injury caused by negligence.
- Except as stated in these terms, the service is provided "as is", and we exclude all other warranties to the extent the law allows.
12. Indemnity
You will indemnify Sayra against claims, losses and reasonable costs arising from your breach of these terms or the law, including calls or messages made without required consent, inaccurate information you supplied, or your goods and services. Sayra will indemnify you against claims that your authorised use of the Sayra platform infringes a third party's intellectual property rights. The party seeking indemnity must notify the other promptly, allow it to control the defence, and give reasonable help.
13. Suspension and termination
- Either party may end the service on the notice period in your agreement or, if none is stated, on 30 days' written notice.
- Either party may terminate immediately by written notice if the other materially breaches these terms and does not fix the breach within 14 days of being asked to, or becomes insolvent.
- We may suspend the service immediately if needed to prevent harm, unlawful use, a security risk or a breach of the acceptable use rules, and we will tell you as soon as practical.
- On termination, you must pay any outstanding fees. We will make your Client Data available for export for 30 days on request, and then delete it in line with our retention practices, except where we must keep it by law.
14. Website use
Information on callsayra.com is general and may change without notice. You must not misuse the website or attempt to interfere with it. Links to third-party websites are provided for convenience and we are not responsible for their content.
15. Governing law
These terms are governed by the laws of Saint Lucia, and the courts of Saint Lucia have jurisdiction over any dispute. This does not remove any rights you have under mandatory local laws, including consumer protection laws, in the country where you operate.
16. Changes to these terms
We may update these terms from time to time. We will post the updated version on this page with a new "Last updated" date and give clients reasonable notice of significant changes. Continuing to use the service after changes take effect means you accept them.
17. General
Neither party is liable for delay or failure caused by events beyond its reasonable control. You may not transfer your rights under these terms without our written consent. If any part of these terms is found unenforceable, the rest remains in effect. A failure to enforce a right is not a waiver of it.
